Terms of Service

1. Institutional Access Mandate

By establishing an account on VestWits, you are entering into a legally binding contract with VestWits Brokerage, LLC. This terminal is designed for deliberate, self-directed investors. We reserve the absolute right to terminate access to any user attempting to reverse-engineer our API nodes, scrape proprietary data feeds, or execute malicious algorithmic spoofing.

2. Trade Execution & Slippage

While our Direct Clearing Engine routes orders in microseconds, market volatility can cause price discrepancies between the time an order is placed and when it is filled. You acknowledge and accept the risk of "slippage" during high-volume trading periods. VestWits is not liable for financial losses incurred due to standard macroeconomic volatility or central exchange halts.

3. Margin Account Obligations

If you apply and are approved for Reg T Margin capabilities, you are borrowing capital against the assets in your account. You must maintain a minimum institutional equity threshold of 25%. Failure to meet a margin call within the designated cure period gives VestWits the irrevocable right to liquidate any and all assets in your portfolio to cover the deficit, without prior notification.

4. Platform Uptime & Outages

We target a 99.999% uptime SLA. However, software is subject to unexpected failure. VestWits assumes no liability for missed financial opportunities resulting from scheduled maintenance, emergency cryptographic patching, or upstream outages caused by our partner custodial banks.

5. Mandatory Arbitration Clause

Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in New York, New York before one arbitrator. You expressly waive your right to participate in any class-action lawsuit.

6. Intellectual Property & API Usage

All terminal interfaces, proprietary routing algorithms, branding assets, and source code are the exclusive intellectual property of VestWits Brokerage, LLC. Use of undocumented API endpoints or automated headless browsers to interact with the platform without an explicit enterprise licensing agreement is strictly prohibited and constitutes grounds for immediate account seizure.
